These Terms & Conditions ("Terms") govern your access to and use of prform's websites, applications, content, and services that generate and deliver workout plans, guidance, and related materials (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Legal entity: VORYNIX VENTURES LLP, trading as prform ("prform", "we", "us", "our").

1) Definitions

  • Account: A registered user profile enabling access to the Service.
  • Content: All workouts, PDFs, text, images, videos, links, data, software, and materials available via the Service.
  • User Content: Content you upload, submit, or generate through the Service (e.g., preferences, goals, profile info).
  • Plans: AI-assisted workout plans, recommendations, guidance, and downloadable documents generated by the Service.
  • Purchase: Any paid access (one-time or subscription) to the Service.
  • PayPal: The payment processor used to complete transactions for Purchases.

2) Eligibility & Use

  • You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you are 16–17, you may only use the Service with consent and supervision of a parent/guardian who accepts these Terms on your behalf.
  • You may not use the Service if you are barred under applicable laws or have been previously suspended or removed by us.
  • You are responsible for maintaining the confidentiality of your Account credentials and for all activity under your Account.

3) Health & Safety Disclaimer (Not Medical Advice)

  • prform provides fitness information and AI-generated guidance for educational purposes only. It is not medical, nutrition, or physiotherapy advice, diagnosis, or treatment.
  • Always consult a qualified healthcare professional before starting, changing, or intensifying any exercise program, especially if you are pregnant/postpartum, nursing, under 18, elderly, or have any injury, surgery, illness, cardiovascular issues, respiratory conditions, joint problems, chronic pain, diabetes, hypertension, neurological conditions, or other health concerns.
  • Emergency: If you experience dizziness, shortness of breath, chest pain, fainting, severe headache, or any alarming symptoms, stop immediately and seek emergency care.
  • You acknowledge that exercise carries inherent risks of injury. You voluntarily assume all risks and responsibilities for your choices and activities. prform is not responsible for injuries or outcomes arising from your use or misuse of the Service.

4) Account Registration & Accuracy

  • Provide accurate, complete, and current information. Keep it updated.
  • Do not impersonate others or misrepresent affiliations.
  • We may reject, reclaim, or require changes to usernames that violate these Terms or applicable law.

5) Acceptable Use

You agree not to:

  • Copy, distribute, resell, frame, or publicly display the Service or Plans except as expressly permitted.
  • Reverse engineer, decompile, or attempt to derive source code.
  • Bypass security or access controls; interfere with service integrity or performance.
  • Upload or transmit malware or harmful code.
  • Use automated scraping/crawling that burdens our infrastructure or violates robots.txt.
  • Misuse referral codes, coupons, or promotions.
  • Infringe intellectual property or privacy rights.
  • Post unlawful, abusive, hateful, harassing, deceptive, or harmful content.
  • Use the Service while performing hazardous tasks or operating vehicles/machinery.

We may suspend or terminate Accounts for violations.

6) AI-Generated Plans & Fitness Content

  • Variability & Non-uniqueness: Plans are generated algorithmically and may contain general fitness knowledge that is not unique to you.
  • Accuracy & Limitations: While we aim for helpful outputs, we do not guarantee completeness, accuracy, or fitness for any particular purpose.
  • Safe Form & Progression: You’re responsible for proper technique, warm-ups, cooldowns, load selection, and progression. Consider professional coaching for form checks.
  • External Videos/Links: We may link to third-party videos (e.g., YouTube). We don’t control or endorse third-party content and are not responsible for it.
  • Beta/Experimental Features: Features labeled “beta,” “early access,” or similar are provided as-is and may change or be discontinued.

7) Intellectual Property

  • We (and our licensors) own the Service and all IP rights in our software, content, logos, trademarks (including prform), designs, and documentation.
  • License to You: Subject to these Terms and your Purchase, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service and to download, store, and print Plans for your own personal, non-commercial fitness use.
  • Restrictions: You may not resell, redistribute, sublicense, publish, or make Plans or PDFs available for others to use as competing products or services.
  • Feedback: If you send feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

8) Purchases, Billing & PayPal

  • Payment Processing: All purchases are processed through PayPal. By completing a Purchase, you agree to be bound by PayPal’s terms and policies.
  • Taxes: Where applicable, you are responsible for paying any required sales tax, VAT, or GST in accordance with your local laws.
  • Payment Methods & Receipts: Supported methods include PayPal balance, linked cards, or other options made available by PayPal. Receipts are issued via PayPal at the time of Purchase.
  • Subscription Terms: If you purchase a subscription, it auto-renews at the end of each term unless you cancel before renewal. Renewal prices and terms will be disclosed at checkout and/or via email. We may change pricing with reasonable notice.
  • Trials & Promotions: If offered, trials convert to paid plans unless canceled before the trial ends. Promotions/discounts may have additional terms and may be limited per user.
  • Cancellation: You can cancel a subscription anytime via your Account or your PayPal dashboard. Cancellations take effect at the end of the billing cycle.
  • Refunds: We provide refunds in accordance with our Refund Policy and applicable consumer laws. Refunds are processed back to the original payment method via PayPal.

9) Consumer Rights (Digital Content)

  • EU/UK Cooling-Off: For qualifying consumer purchases made online, you may have a statutory right to withdraw within 14 days. However, for digital content delivered immediately (access begins right away), this right may expire once you give explicit consent to immediate delivery and acknowledge losing the right of withdrawal. Our checkout flows reflect these disclosures/consents where applicable.
  • Local Laws Vary: Additional or different rights may apply in your jurisdiction (e.g., repair/replace rights for defective digital content). Where local law conflicts with these Terms, local law prevails for consumer protections.

10) Fair Use & Anti-Abuse

We may impose reasonable technical limits (e.g., generation caps, download limits, API rate limits) to prevent abuse and ensure a quality experience for all users. We may suspend or throttle Accounts showing automated scraping, reselling of Plans, or unusual usage patterns.

11) Privacy & Data

  • See our Privacy Policy to learn how we collect, use, and protect your data, including analytics, cookies, and marketing communications.
  • Health-Related Inputs: If you choose to share sensitive data (e.g., injuries), you consent to our processing of that data to provide the Service. Do not share personal data you are not comfortable sharing.
  • Training & Improvements (Optional): We may use de-identified aggregates to improve features. You can opt out where legally required or by contacting us at support@prform.fit.
  • Data Retention & Export: You may request a copy or deletion of your personal data in accordance with applicable law.

12) Third-Party Services

The Service may integrate or link to third-party sites (e.g., YouTube exercise demos, file hosting, payment processors). We do not control third-party content or policies and are not responsible for their acts or omissions. Your use of third-party services is subject to their terms.

13) Changes to the Service

We may add, modify, or discontinue features (including beta/experimental features) at any time. If we discontinue a paid feature materially early in your current term, we’ll provide a pro-rated refund or comparable remedy where required by law.

14) Suspension & Termination

We may suspend or terminate your Account (with notice when reasonable) if: (a) you materially breach these Terms; (b) your use risks harm to us, the Service, or others; (c) we are required by law or by a court/government order. You may stop using the Service at any time. Sections that by nature should survive (e.g., IP, disclaimers, limitations, governing law) will survive any termination.

15) Warranties & Disclaimers

THE SERVICE (INCLUDING ALL PLANS AND CONTENT) IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT PLANS WILL ACHIEVE ANY PARTICULAR FITNESS OR HEALTH OUTCOME.

16) Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD 100.
  • SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR LIABILITY; THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED.

17) Indemnity

You agree to indemnify and hold harmless prform and our officers, directors, employees, contractors, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your: (a) misuse of the Service; (b) violation of these Terms; (c) infringement or violation of any third-party rights or laws.

18) Compliance, Export & Sanctions

You represent that you are not located in, under control of, or a national/resident of any country or entity subject to economic sanctions or export restrictions. You agree to comply with all applicable export control, sanctions, and anti-corruption laws.

19) Communications

By creating an Account, you consent to receive transactional and administrative communications (e.g., receipts, account notices). You can opt out of marketing emails via unsubscribe links. Transactional emails are integral to the Service and may not be opted out of.

20) Governing Law & Dispute Resolution

  • Governing Law: These Terms are governed by the laws of India, without regard to conflict-of-laws rules.
  • Forum: Subject to the arbitration paragraph below, courts located in Bengaluru, Karnataka shall have exclusive jurisdiction.
  • Arbitration (Optional Clause): At our election or yours, disputes may be finally resolved by binding arbitration under the Indian Arbitration and Conciliation Act, 1996. Seat: Bengaluru. Language: English. Each party bears its own costs; tribunal may award fees/costs as permitted by law.
  • Injunctive Relief: Either party may seek urgent injunctive relief in court to protect IP or confidential information.

21) Changes to These Terms

We may update these Terms from time to time. Changes take effect upon posting, with the “Last updated” date above. If changes materially affect your paid access, we’ll provide reasonable notice (e.g., email or in-app) and the changes will apply at the next renewal unless otherwise required by law. Your continued use after the effective date constitutes acceptance.

  • Entire Agreement: These Terms, together with any order/checkout terms, refund policy, and Privacy Policy, are the entire agreement between you and us.
  • Severability: If any provision is invalid, the remainder stays in effect.
  • No Waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
  • Force Majeure: We are not liable for failures due to events beyond our reasonable control (e.g., natural disasters, internet failures, acts of government).
  • Headings: For convenience only; no legal effect.
  • Language: These Terms are in English. Translations (if any) are for convenience; the English version controls.
